Terms of Service

Version 1.0 · Last updated 9 October 2026

These Terms of Service (“Terms”) are a contract between Tacet Ltd (“Tacet”, “we”, “us”, “our”), a company registered in England and Wales with company number 14504998 and its registered office at Unit 2 Beverley Court, Elmtree Road, Teddington, Middlesex, TW11 8ST, United Kingdom, and the business that registers for or uses Qotery (“you”, “your”).

Please read in particular: Qotery’s outputs, including customs, duty, tax and carrier-fee estimates, are produced automatically and may be wrong. You must check them before you rely on them or send them to anyone. See Automated outputs and AI, Customs, duty, tax and fee estimates and Limitation of liability.

1About these Terms

1.1
By creating an account, starting a trial, subscribing, installing the Qotery add-in or otherwise using the Service, you agree to these Terms on behalf of the business you represent, and you confirm that you have authority to bind that business. If you do not agree, do not use the Service.
1.2
The Service is for businesses only. You confirm that you are using it for the purposes of your trade, business, craft or profession and not as a consumer.
1.3
These Terms include our Data Processing Addendum (the “DPA”) and the details of the Plan you choose as shown in Qotery when you subscribe. Our Privacy Policy explains how we handle personal data as a controller; it is not part of this contract.
1.4
If there is a conflict, the DPA prevails on matters of data protection; otherwise these Terms prevail.

2Definitions

Authorised User
An individual you allow to use the Service under your account. Each one uses a seat.
Customer Data
Data you or your Authorised Users submit to the Service, including emails you forward, paste or open with the add-in, rate sheets, charges, settings and quote details. It does not include Usage Data.
Estimates
Estimates of customs duty, import VAT and other taxes, government charges and carrier fees produced by the Service.
Outputs
Anything the Service generates for you, including extracted shipment details, warnings, prices, margins, summaries, draft emails and Estimates.
Plan
The subscription plan you choose, including its seats and monthly email allowance.
Reference Data
Tariff, tax, exchange-rate and carrier-fee data that the Service obtains from third-party sources.
Service
The Qotery web application, the Qotery add-in for Microsoft Outlook, email forwarding, and any related services we provide.
Usage Data
Technical and usage information about how the Service is used, such as logs, counts and performance data, which may be aggregated or de-identified.

3The Service

3.1
Qotery reads freight quote requests, extracts the shipment details, flags information that is missing or looks wrong, prices shipments from the rate sheets you provide, estimates customs costs where it can, and drafts replies for you to review and send.
3.2
We may change, improve, add or remove features. If a change materially reduces the core functionality of your paid Plan, we will tell you in advance where reasonably practicable, and you may cancel before it takes effect.
3.3
Features we describe as beta, preview or experimental are provided as they are, may change or be withdrawn at any time, and are excluded from any commitments in these Terms.
3.4
We will use reasonable efforts to keep the Service available, but we do not promise any particular level of availability. It may be interrupted for maintenance, upgrades, emergencies or reasons outside our control.

4Accounts, users and seats

4.1
Your account belongs to your franchise or business and has administrators and members. Each seat is one Qotery login for one named person; logins must not be shared. Pending invitations also use a seat.
4.2
You are responsible for your Authorised Users’ acts and omissions as if they were your own, and for keeping passwords, sign-ins and API or add-in tokens secure. Tell us promptly at support@qotery.com if you suspect unauthorised access.
4.3
You must give us accurate account and billing information and keep it up to date.

5Free trial

5.1
A new franchise may get a free trial (currently 14 days of the Team plan, with no payment card). We may limit trials to one per person or business, and change or withdraw trials at any time.
5.2
During a trial the Service stops reading new emails once the trial’s email allowance is used. When the trial ends, it stops reading new emails unless you subscribe.
5.3
Trials are provided “as is”, without any warranty or commitment, and our total liability arising from a trial is limited to £100.

6Plans, fees and payment

6.1
The fees for each Plan are those shown in Qotery when you subscribe. Fees exclude VAT and other taxes, which you must pay in addition.
6.2
Subscriptions are billed monthly in advance through our payment processor, Stripe. Billing is aligned to the first day of each calendar month (UTC); your first payment covers the rest of the current month, pro rata.
6.3
Each Plan includes a monthly email allowance shared by your franchise. An email counts towards it when it starts, updates or accepts a quote request. Repeats of an email already read, proof-of-delivery chasers, invoice queries and demo emails do not count. Allowances reset on the first day of each month (UTC), and unused allowance does not carry over.
6.4
On a paid Plan, if your franchise goes past its allowance the Service keeps reading emails, and each further block of 100 emails, or part of a block, is charged at the extra-pack price shown in Qotery (currently £15 excluding VAT). Extra packs are billed in arrears on your next invoice.
6.5
Our records of usage are conclusive unless there is an obvious error. If you believe a charge is wrong, tell us within 30 days of the invoice.
6.6
You authorise us, through Stripe, to charge your payment method for all fees when they are due. Subscriptions renew automatically each month until cancelled.
6.7
An upgrade takes effect once its prorated charge is paid. A downgrade takes effect from the next billing period; any resulting credit is applied to future invoices and is not refunded.
6.8
Except where these Terms or the law say otherwise, fees are non-cancellable and non-refundable, including for part months, unused allowance, unused seats and downgrades.
6.9
If a payment fails we will retry it. If it remains unpaid, we may stop reading new emails, suspend the Service or cancel your subscription, and we may charge interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998.
6.10
We may change our fees or introduce new charges by giving you at least 30 days’ notice. A change applies from your first billing period after the notice period ends; if you do not agree, you may cancel before then.

7Your data

7.1
As between you and us, you own Customer Data. You grant Tacet a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Data as needed to provide, maintain, secure and support the Service, to comply with law, and as these Terms otherwise allow.
7.2
You are responsible for Customer Data: its accuracy and legality, and having every right, permission and notice needed for us to process it, including the emails and personal data of third parties (such as your customers and suppliers) that you forward, paste or open with the Service.
7.3
We may create and use Usage Data, and aggregated or de-identified data derived from Customer Data that does not identify you, your customers or any individual, to operate, secure, improve and develop our services. We own that data.
7.4
We do not use Customer Data to train AI models, and our AI provider does not use it to train its models under its API terms.
7.5
The Service is not a backup or records system. You are responsible for keeping your own copies of anything you need, including the emails and quotes you send.
7.6
You can export your quote requests from the Service while your account is open. After your subscription ends, we delete Customer Data as described in the DPA: within 90 days, except copies held in rolling backups until they are overwritten, and data we must keep by law.

8Data protection

8.1
For personal data in Customer Data, you are the controller and Tacet is your processor. The DPA applies and forms part of these Terms.
8.2
For account, billing, support and website data, Tacet is a controller, as explained in our Privacy Policy.
8.3
You must not submit special category personal data, criminal offence data or children’s data, except where it is unavoidably contained in business emails you are entitled to process.

9Automated outputs and AI

9.1
The Service generates Outputs by automated processing, including machine learning provided by third-party AI providers. Outputs may be inaccurate, incomplete, out of date, inconsistent or unsuitable, and the same input may produce different Outputs.
9.2
Qotery never sends email on your behalf. It prepares drafts; you decide what to send.
9.3
You must review every Output, including extracted details, warnings, prices and draft replies, before you rely on it or send it to anyone. You are solely responsible for the quotes, prices, statements and decisions you make or communicate, whether or not you used Outputs.
9.4
Prices produced by the Service depend on the rate sheets, margins, fuel surcharges, surcharge rules and other inputs you provide. You are responsible for keeping them accurate and current.

10Customs, duty, tax and fee estimates

10.1
Estimates are indicative only. They are generated automatically from Reference Data published by third parties, such as the EU TARIC database, the UK Trade Tariff, national tax and customs authorities, the European Central Bank and carriers’ published fee schedules, and from your inputs, including commodity codes, values, origins, Incoterms and shipment details.
10.2
Reference Data can be incomplete, wrong or out of date, can change without notice, and its sources may be unavailable. An Estimate may not reflect the rules, exchange rates, reliefs, quotas, preferences, fees or charges that apply to a particular shipment.
10.3
Estimates are not customs, tax, legal or other professional advice. Tacet is not a customs broker, customs agent, representative, declarant or tax adviser, and does not act for you or your customers.
10.4
You are solely responsible for classification, valuation, origin and declarations, and for checking Estimates against official sources or with a qualified customs broker before you rely on them or share them.
10.5
Tacet is not liable for any customs duties, taxes, government charges, carrier fees, penalties, interest, surcharges, seizures or delays, or for any difference between an Estimate and the amount actually charged.

11Rate sheets, carriers and third-party services

11.1
You warrant that you are entitled to upload and use the rate sheets and other materials you provide, and that doing so does not breach any agreement with a carrier or anyone else.
11.2
Example and demonstration rates in the Service are fictitious and for illustration only.
11.3
Carrier names and logos are trademarks of their owners. Their use in the Service does not imply any affiliation, sponsorship or endorsement.
11.4
The Service relies on third-party services, including Microsoft Outlook and Microsoft 365, Stripe, Clerk, Postmark, OpenAI and hosting providers. Their availability is outside our control, your use of any third-party product is governed by its own terms, and we are not responsible for third-party services.

12Qotery for Outlook

12.1
Subject to these Terms and payment of the fees, we grant you a non-exclusive, non-transferable, revocable licence for your Authorised Users to install and use the Qotery add-in for Microsoft Outlook during your subscription, for your internal business purposes. These Terms are the end-user licence agreement for the add-in.
12.2
When an Authorised User uses the add-in on an email (for example “Quote this”), the email’s content is sent to the Service and processed as Customer Data.
12.3
Microsoft is not a party to these Terms, is not responsible for the add-in, and has no obligation to support or maintain it.

13Acceptable use

13.1
You must not, and must make sure your Authorised Users do not:
  1. use the Service unlawfully or fraudulently, or submit content you are not entitled to process;
  2. submit malware, or content that is harmful, defamatory, obscene or harassing;
  3. submit special category or criminal offence data, except as allowed under Data protection;
  4. probe, scan or test the vulnerability of the Service, or bypass any security, usage or access control, without our prior written consent;
  5. copy, modify, reverse engineer, decompile or disassemble the Service, except to the extent the law allows despite this restriction, or use AI agents or other automated tools to copy or recreate its interface, workflows, text or Reference Data;
  6. access the Service by automated means, other than through email forwarding, the add-in and the features we provide;
  7. use the Service to build or benchmark a competing product, or publish benchmarks or performance results without our written consent;
  8. resell, sublicense, rent or provide the Service to anyone else, or use it for anyone other than your business;
  9. spread use across several accounts or franchises to avoid seat limits, allowances or fees; or
  10. interfere with the Service or other customers’ use of it, or put an unreasonable load on it.

14Suspension

14.1
We may suspend all or part of the Service, or any Authorised User’s access, immediately if:
  1. any fees are overdue;
  2. we reasonably believe you have breached these Terms;
  3. your use poses a security, legal or operational risk to the Service, to us or to others;
  4. the law or a regulator requires it; or
  5. a provider we rely on requires it.
14.2
We will give notice where reasonably practicable and restore access once the reason is resolved. Suspension does not affect your obligation to pay fees.

15Intellectual property and feedback

15.1
Tacet and its licensors own all rights in the Service, including its software, design, documentation and compilations of Reference Data, and in any improvements to it. No rights are granted to you except those these Terms expressly grant.
15.2
You may use Outputs for your internal business purposes and in your communications with your customers, subject to these Terms.
15.3
If you give us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose, without payment or attribution.
15.4
We may name you as a customer, and show your logo, in our marketing. You can ask us to stop at any time by emailing legal@qotery.com.

16Confidentiality

16.1
Each party will keep the other’s confidential information confidential, use it only to perform its obligations or exercise its rights under these Terms, and disclose it only to its employees, contractors, advisers and service providers who need to know it and are bound by confidentiality obligations.
16.2
This does not apply to information that is or becomes public other than through a breach of these Terms, was already known to the recipient, is independently developed, or is lawfully received from a third party without restriction. A party may disclose confidential information where the law or a regulator requires it, giving notice where it lawfully can.
16.3
Customer Data is your confidential information. Non-public information about the Service, including any pricing agreed outside the published Plans, is ours.

17Warranties and disclaimers

17.1
Each party warrants that it has the power and authority to enter into these Terms.
17.2
We will provide the Service with reasonable skill and care. If it does not meet that standard, tell us and we will use reasonable efforts to correct it. If we cannot correct a material failure within 30 days of your notice, you may terminate the affected subscription and we will refund the fees you prepaid for the period after termination. This is your sole and exclusive remedy for breach of this warranty.
17.3
Except as these Terms expressly say, the Service, Outputs, Estimates and Reference Data are provided “as is” and “as available”. To the fullest extent the law allows, all warranties, conditions and other terms implied by statute, common law or otherwise are excluded, including those as to satisfactory quality, fitness for a particular purpose, accuracy and non-infringement.
17.4
We do not warrant that the Service will be uninterrupted, error-free or secure against every threat, that Outputs or Estimates will be accurate, complete or current, or that the Service will meet your requirements.

18Limitation of liability

18.1
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
18.2
Tacet has no liability to you, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, for any:
  1. loss of profits, revenue, sales or business;
  2. loss of contracts, customers or business opportunities;
  3. loss of anticipated savings;
  4. loss of goodwill or damage to reputation;
  5. wasted expenditure or management time;
  6. loss, corruption or destruction of data;
  7. customs duties, taxes, government charges, carrier fees, penalties, fines, interest or surcharges, or any difference between an Estimate and an amount actually charged;
  8. loss arising from reliance on Outputs or Estimates, or from any quote, price or statement you or your Authorised Users give to anyone; or
  9. indirect, special or consequential loss,
in each case whether or not it was foreseeable or we were told it might happen.
18.3
If Customer Data is lost or corrupted through our fault, your sole remedy is for us to use reasonable efforts to restore it from our most recent backup.
18.4
Tacet’s total liability arising out of or in connection with these Terms and the Service, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, is limited to the greater of:
  1. the total fees you paid to Tacet for the Service in the 12 months before the event giving rise to the claim; and
  2. £100.
18.5
That limit applies to all claims together, including claims under the DPA and under data protection law. Our employees, contractors and suppliers have no personal liability to you, and you agree not to bring claims against them; they may rely on this section.
18.6
You must start any claim within 12 months after the date you became aware, or should reasonably have become aware, of the facts giving rise to it. After that, the claim is barred.
18.7
You agree that these limits are reasonable: you are best placed to check Outputs and Estimates before relying on them and to insure against the losses excluded here, and our fees reflect this allocation of risk.

19Your indemnity

19.1
You will defend, indemnify and hold harmless Tacet and its officers, employees and contractors against all claims, losses, damages, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with:
  1. Customer Data, including any claim that processing it in accordance with these Terms infringes anyone’s rights or breaches data protection law;
  2. quotes, prices, Estimates or other communications that you or your Authorised Users give to anyone;
  3. a breach of these Terms or of the law by you or your Authorised Users; and
  4. your use of rate sheets or other third-party materials.
19.2
We will tell you about any such claim where we lawfully can. We may choose to conduct the defence and settlement of the claim ourselves, at your expense, and you will cooperate as we reasonably request.

20Cancellation and termination

20.1
These Terms apply from when you first accept them or use the Service until every subscription has ended and you have stopped using the Service.
20.2
You can cancel your subscription at any time from the Team page in Qotery. Cancellation takes effect at the end of the current billing period, and you will not be charged again. No refund is given for the rest of the period.
20.3
We may end your subscription, or these Terms, for any reason by giving you at least 30 days’ notice; if we do, we will refund the fees you prepaid for any period after the end date.
20.4
Either party may terminate immediately by notice if the other commits a material breach that cannot be remedied, or is not remedied within 14 days of notice, or if the other becomes insolvent, enters administration, liquidation or a voluntary arrangement, has a receiver appointed, or stops trading. We may also terminate immediately if fees remain unpaid 14 days after they were due.
20.5
When these Terms end, your right to use the Service ends, all unpaid fees become due immediately, and Customer Data is deleted as described in Your data. Any provision that by its nature should continue does so, including those on fees, data, Outputs, Estimates, intellectual property, confidentiality, limitation of liability, your indemnity and general matters.

21Changes to these Terms

21.1
We may change these Terms. We will give you at least 30 days’ notice of a material change, by email to your account administrators or in the Service. Changes required by law, changes for security reasons and changes that only add new features may take effect sooner.
21.2
If you do not agree to a change, you can cancel before it takes effect. If you continue to use the Service after a change takes effect, you accept it.
21.3
The version number and date at the top of this page show which version applies.

22General

22.1
Neither party is liable for any delay or failure caused by events beyond its reasonable control, including failures of third-party providers, data sources, carriers, the internet or power supplies, cyber-attacks, government action, or industrial action other than by its own workforce. This does not excuse any obligation to pay.
22.2
We may assign, transfer or subcontract any of our rights and obligations under these Terms. You may not do so without our prior written consent.
22.3
These Terms, with the DPA and your Plan details, are the entire agreement between us about the Service and replace any earlier discussions or arrangements. Each party agrees it has not relied on any statement that is not set out in them and has no remedy for any such statement, except for fraud.
22.4
If any provision is found invalid or unenforceable, it applies with the minimum change needed to make it valid, and the rest of these Terms continue in effect.
22.5
A delay or failure to exercise a right is not a waiver of it.
22.6
Nothing in these Terms creates a partnership, joint venture or agency between us.
22.7
No one other than you and Tacet has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999, except that our employees, contractors and suppliers may rely on Limitation of liability.
22.8
We may give you notices by email to your account administrators or in the Service. You must send legal notices to legal@qotery.com, with a copy by post to our registered office. An email notice is treated as received when sent, unless the sender gets a delivery failure.
22.9
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.

23Data sources and attribution
